About CoreWeave

CoreWeave is a cloud infrastructure company based in Roseland, New Jersey. It provides “a massive scale of GPUs on top of the industry’s fastest and most flexible infrastructure,” helping to fuel the AI arms race.

The company is most notable for offering cloud access to Nvidia’s HGX H100 chips, which provide superior GPU processing for training large language models (LLM) and AI imaging applications.

CoreWeave’s founders began stocking up on processing chips to mine Ethereum before the AI boom, which kicked off after the release of OpenAI’s ChatGPT.

It left Wall Street for the New Jersey suburbs and began selling access to its GPUs when cryptocurrencies became unpopular.

CoreWeave is among the darlings of AI startups, alongside Anthropic, OpenAI, Inflection AI, and “the GitHub of AI”, HuggingFace

The startup claims to be two years ahead of other cloud providers. It can provide AI startups with the appropriate level of computing needed for complex models.

S-1 Filing

The CoreWeave S-1 filing is embedded below. This is the March 20th, 2025 amended version that includes IPO terms and the Robinhood IPO Access mention.

Ownership

CoreWeave is a venture-backed private company. Its primary owners are the co-founders, venture capital firms, technology companies, and employees.

Prominent venture capital investors include Fidelity, the Investment Management Corporation of Ontario (“IMCO”), Jane Street, JPMorgan, Cisco, Pure Storage, BlackRock, Coatue, Neuberger Berman, Nat Friedman and Daniel Gross, Goanna Capital, Zoom Ventures, Nvidia, and OpenAI.

It has also raised debt financing from Magnetar Capital, Blackstone, Coatue, Digital Bridge Credit, and affiliates of BlackRock, PIMCO, and Carlyle.

IPO Potential

The CoreWeave IPO date is Friday, March 28th, 2025.

The company released its S-1 filing on Monday, March 3rd (see above), and amended it on March 12th and March 20th.

Reporting on the morning of March 27th indicated a scaled back IPO at the $23 billion valuation mark.

On February 26th, 2025, Bloomberg reported that CoreWeave is eyeing to release its S-1 filing to the public “within a week”. It aims to raise $4 billion at a $35+ billion valuation.

The Information reported during the week of December 10th that CoreWeave was “racing to confidentially file its IPO prospectus this week”. The timing suggests the filing could reach the public by March for an April IPO, barring any substantial SEC delays.

In November 2024, Reuters reported that CoreWeave is seeking a $35 billion IPO in Q2 2025 IPO. The company is targeting a $3 billion raise.

The Information reported in late May 2024 that the startup was aiming to IPO in the first half of 2025.

This timeline was strengthened in November 2024 when Bloomberg reported that CoreWeave had hired Morgan Stanley, Goldman Sachs, and JPMorgan to lead the deal.

If an AI bubble is expanding and CoreWeave successfully tests the waters, others will surely follow.

I’ll update this webpage with the latest information when it becomes available.

Valuation

The last confirmed CoreWeave valuation is $23 billion based on the tender share sale completed in November 2024. It was previously valued at $19 billion after its May 2024 $1.1 billion Series C investment.

The IPO market cap appears to be at or near that value.

Pre-IPO marketplace data indicates the tender offer closed at a $24 billion valuation or $985 per common share. However, data from late February indicate shares trading at more than $1,400 per share at a $35 billion valuation.

Four Ways to Invest in CoreWeave

The CoreWeave IPO is upon us. Private shares are still trading on pre-IPO marketplaces, but the most likely way most people will get to invest is after the IPO.

However, readers of this website often access IPO shares with accounts at participating brokers. It is unclear at this stage, which brokers will get access. At a $35 billion valuation, more shares are available than usual, giving us optimism that retail investors can participate.

Morgan Stanley is the lead underwriter and has a history of hoarding shares for their wealthy clients.

1. Participate in the IPO through a broker

Most retail investors will not receive CoreWeave IPO shares and will have to wait until the stock begins trading.

IPO access is often challenging. However, savvy retail IPO investors may find opportunities to invest during the IPO at the IPO price.

Access has become increasingly accessible to retail investors in the past few years.

The following online brokers give customers free access to IPOs with low minimum deposits:

Robinhood is confirmed to be offering IPO access to customers. It is listed as a reseller in the S-1 filing.

Read the S-1 filings to find mentions of these online brokers to find opportunities.

2. Access CoreWeave via pre-IPO investing platforms

The author has seen recent transaction volume on multiple pre-IPO investing platforms.

Interested investors can monitor Hiive, which has a very active marketplace as of March 3rd, 2025. Shares may continue trading hands until closer to the IPO date. Hiive offered shares to investors via email on the same day the Bloomberg report disclosed an imminent filing.

Other pre-IPO platforms where shares may be available include EquityZen, Forge Global, and Linqto.

Pre-IPO investors in individual startups must meet the SEC accreditation requirements. Minimum investments range from $2,500 to $50,000 or more for these different platforms.

Non-accredited investors can invest in pre-IPO companies via the Fundrise Innovation Fund (review).

However, investors cannot select individual pre-IPO companies, and CoreWeave stock is currently not in the portfolio.

There’s a $10 minimum investment, and the fund is ramping up new holdings.

Check out our list of top pre-IPO investing platforms for current share availability across platforms.

3. Invest Indirectly

Indirect investing in pre-IPOs is the easiest and lowest-risk way to gain investment exposure. However, upside potential is very limited.

Nvidia (NVDA), Zoom (ZM), Cisco (CSCO), and Pure Storage (PSTG) have all invested in CoreWeave. Therefore, retail investors can buy those stocks for indirect exposure.

The amount of equity each holds is unclear. Indirect investors can gain more from low market cap stocks if CoreWeave’s valuation expands. That makes Pure Storage the most attractive of these companies to benefit from CoreWeave’s future growth.

4. Buy the stock after the IPO

Most investors will not acquire pre-IPO shares or receive an allocation during the IPO. They will need to wait until an IPO to buy the stock in the open market.

Investing after the IPO has advantages. The market-based pricing and regulated filings reduce investor risk. Furthermore, public numbers make it easier for retail investors to perform due diligence before investing.

Avoid chasing over-inflated share prices immediately after the IPO. Stock price declines after IPOs can be excellent entry points.

Be selective and patient. The most disruptive companies are likely to experience higher valuations a decade from now.

Conclusion

Retail investors often become interested in buying startups riding extraordinary macroeconomic and technology trends (AI, supercomputing, cloud, LLMs) before they go public.

Acquiring ownership in private companies is challenging for retail investors, especially non-accredited ones, due to regulations and high demand for shares.

Pre-IPO investing platforms have opened more opportunities for retail investors. However, availability is still limited. Monitor platforms for the latest availability.

Investors will likely hit roadblocks trying to obtain pre-IPO shares or IPO shares if the company chooses a public offering.

CoreWeave has recently taken advantage of the private AI funding bonanza and is now leading the way in AI public offerings.

Cerebras and other AI infrastructure companies will be watching closely. The outcome of CoreWeave’s IPO and offering amount will influence other companies considering going public, both AI and other industries.

If you want to invest in the CoreWeave IPO, first look to pre-IPO platforms to acquire shares. Transaction volume is high and may continue into the IPO. One of the best ways to participate in IPOs is to get shares before trading begins.

Good luck if you wish to buy CoreWeave stock before the CoreWeave IPO. Invest in pre-IPO and IPO companies at your own risk.
