What is Rubrik?
Rubrik is a cloud data management and security company based in Palo Alto, CA, calling itself the “Zero Trust Data Security” company.
Zero trust is an information technology term regarding a methodology to thwart cybersecurity and ransomware attacks.
Zero trust methods are based on the assumption that all devices, applications, and users are untrustworthy. Therefore, systems and processes should verify all users before accessing a network or application.
For example, a large corporation may require all employees to log in every day to complete their timesheets. The verification step ensures each user has valid credentials to access the system.
Companies and organizations can fend off bad actors by defending networks and systems with zero trust security methods.
Rubrik’s cloud products, combined with integrations and company partnerships, help to strengthen cybersecurity defenses.
Here’s a video illustrating how Rubrik’s technology uses zero trust methods to defend against hackers and unauthorized access.

Will Microsoft Buy Rubrik?
Microsoft is a $1 trillion company, so it has the resources to buy a company such as Rubrik, which has a $4 billion valuation.
In August 2021, Microsoft and Rubrik announced a strategic partnership that included an equity investment.
How much did Microsoft invest in Rubrik? “Low tens of millions” is the estimate reported by Bloomberg. This website interprets that description as somewhere in the range of $10-$40 million.
The companies did not disclose the specifics.
Having an initial equity stake may make Microsoft a leading candidate to acquire Rubrik in the future. But the stake is relatively small, so it will not have a large voting stake in another attempt to acquire the company.
Can You Buy Rubrik on Pre-IPO Marketplaces?
Yes, the author has seen evidence of Rubrik stock availability on pre-IPO investing platforms.
Availability varies among pre-IPO platforms.

Will Rubrik be a Motley Fool Stock Advisor Recommendation?
We won’t know until after the Rubrik IPO if the company will be a Motley Fool Stock Advisor recommendation. However, Rubrik fits the mold of high-growth, disruptive cloud-based business models that the Fool typically recommends.
When the Motley Fool recommends a company, there is usually an immediate spike in the price. Fool newsletter subscribers are notoriously long-term minded and rarely sell, meaning the stock price will continue to rise.
Rubrik may also receive a recommendation by the Motley Fool Rule Breakers (Rule Breakers review) newsletter or other premium services. Both services have handily beaten the broader market since the early 2000s.

How to Invest in The Rubrik IPO
Most investors will not be able to own Rubrik stock via pre-IPO investing platforms because they require the investor to be accredited.
When the Rubrik IPO date arrives, it will still be difficult for most investors to acquire IPO shares.
The most like way investors will be able to own Rubrik stock is to wait for the IPO and buy shares after it goes public. However, there may be other opportunities to own the stock before the IPO.
Here are some potential options to own Rubrik stock before and during the IPO.
1. Buy Rubrik Pre-IPO
Rubrik stock may become available on pre-IPO investing platforms before the IPO.
This happens when employees or other early investors want to liquidate a portion of their shares without waiting for the public offering.
To be eligible to buy pre-IPO shares, investors must first be accredited.
Second, investors must be registered on pre-IPO investing platforms to receive notifications when shares become available.
Often, shares disappear quickly.
Joining pre-IPO investing platforms is free. However, each platform and deal may have a minimum investment amount which may vary by deal.
Most platforms require investors to be accredited. But the Fundrise Innovation Fund offers access to pre-IPO startups for only a $10 minimum investment.

2. Buy Rubrik during the Rubrik IPO through a participating broker
Savvy IPO investors may find opportunities to invest during the IPO. That means acquiring shares at the IPO price the night before the company begins trading.
Once reserved for Wall Street’s wealthiest customers, IPO access has become more attainable to retail investors in the past five years.
Online brokers such as the following give customers free access to IPOs, even with low account balances.
Brokers often negotiate exclusive IPO shares, so your access to specific high-demand IPOs will be limited by how many brokerage accounts you have.
TradeStation and Webull have a longer track record of accessing more than 200 IPOs and secondary offerings via their partnership with ClickIPO.
Robinhood and SoFi have the advantage of Silicon Valley networks and a history of getting allocations for high-profile IPOs (e.g., Sweetgreen, Rivian).
Check out this list of best brokers for IPO investing to learn more about IPO access for retail investors.
3. Buy Rubrik stock after the Rubrik IPO
Though waiting for the IPO requires patience, there are advantages to waiting for the stock to become publicly traded before owning.
First of all, the IPO allows investors to review financials. Pre-IPO investing has limited financials available.
Second, IPO stock prices typically rise with high-demand companies. You can benefit if you’re in early and sell when the price overheats.
Many IPOs start off hot, then the stock falls once the first and second quarterly earnings reports become available.
In 2021, both Rivian and Robinhood became high-flying IPO stocks. But six months after the IPO, both stocks were more than 80% below their price peak.
The stock price declines after the IPOs could become excellent entry points if you were not allocated IPO shares.
Avoid buying overvalued shares immediately after the IPO. Shares often fall after the IPO due to lockup expirations and quarterly earnings disappointments.
However, the most disruptive companies will be higher in a decade. Patience pays.
Where can I find the Rubrik IPO S-1 Filing?
The Rubrik S-1 filing is not available yet. The document will be available when the company submits it to the SEC and the regulatory commission approves and releases it to the public.
When that happens, we’ll post a copy here.
You can also monitor all recent S-1 IPO filings on this website.
Conclusion
Investors get excited when they identify companies riding extraordinary macroeconomic trends. This can lead us to private companies positioning to profit from massive opportunities.
However, buying the stock early on can often prove difficult for retail investors.
Though pre-IPO investing platforms have opened more opportunities, private equity investing is still primarily reserved for the ultra-wealthy, requiring millions to invest in seed and early funding rounds for disruptive companies.
So if you decide to pursue IPO shares and early equity, maintain reasonable expectations. However, if you identify several favorite IPO companies, you may eventually be able to invest in some of your target companies.
If the Rubrik IPO is on your watch list, good luck. Invest in pre-IPO and IPO companies with caution.
