About CoreWeave

CoreWeave is a cloud infrastructure company based in Roseland, New Jersey. It provides “a massive scale of GPUs on top of the industry’s fastest and most flexible infrastructure,” helping to fuel the AI arms race.

The company is most notable for offering cloud access to Nvidia’s HGX H100 chips which give superior GPU processing for training AI large language models (LLM) and AI imaging applications.

CoreWeave’s founders began stocking up on processing chips to mine Ethereum before the AI boom, which kicked off after the release of OpenAI’s ChatGPT.

It left Wall Street for the New Jersey suburbs and began selling access to its GPUs when cryptocurrencies became unpopular. 

CoreWeave is among the darlings of AI startups, alongside Anthropic, OpenAI, Inflection AI, and “the GitHub of AI”, HuggingFace

The startup claims to be two years ahead of other cloud providers. It can provide AI startups with the appropriate level of computing needed for complex models.

CoreWeave Ownership

CoreWeave is a venture-backed private company. Its primary owners are the co-founders, venture capital firms, technology companies, and employees.

Prominent venture capital investors include Fidelity, the Investment Management Corporation of Ontario (“IMCO”), Jane Street, JPMorgan, Cisco, Pure Storage, BlackRock, Coatue, Neuberger Berman, Nat Friedman and Daniel Gross, Goanna Capital, Zoom Ventures, and Nvidia. 

It has also raised debt financing from Magnetar Capital, Blackstone, Coatue, Digital Bridge Credit, and affiliates of BlackRock, PIMCO, and Carlyle.

IPO Potential

The specific CoreWeave IPO date is currently unknown, but is now expected in 2025.

The Information reported during the week of December 10th, that CoreWeave was “racing to confidentially file its IPO prospectus this week”. The timing suggests the filing could reach the public by March for an April IPO, barring any substantial SEC delays. 

In November 2024, Reuters reported that CoreWeave is seeking a $35 billion in Q2 2025 IPO. The company is targeting a $3 billion raise. 

The Information reported in late-May 2024 that the startup was aiming to IPO in the first half of 2025. 

This timeline was strengthened in November 2024 when Bloomberg reported that CoreWeave has hired Morgan Stanley, Goldman Sachs, and JPMorgan to lead the deal.

If an AI bubble is expanding and other AI companies like Cerebras test the IPO waters, others like CoreWeave would surely follow. 

Though considering its position as a leading AI cloud infrastructure company, it may also be an acquisition target by a large tech company looking to improve its position in the AI arms race (e.g., Amazon, Google, Oracle, Microsoft).

Or, existing investor Nvidia could take it fully under its wing.

Valuation

The CoreWeave valuation is $23 billion based on the tender share sale completed in November 2024. It was previously valued at $19 billion after its May 2024 $1.1 billion Series C investment.

Pre-IPO marketplace data indicates the tender offer closed at a $24 billion valuation, or $985 per common share. 

Four Ways to Invest in CoreWeave

Since CoreWeave is a private company, it is challenging to become an equity owner today.

However, by taking the actions outlined below, you can increase your chances of early equity ownership or obtaining shares in the IPO.

Accredited investors will have an easier time using pre-IPO investing platforms. Non-accredited investors can look to venture capital funds for access to pre-IPO companies. 

1. Access CoreWeave via pre-IPO investing platforms

The author has seen some evidence of opportunities to invest in CoreWeave stock on pre-IPO investing platforms.

However, investors cannot select individual pre-IPO companies, and CoreWeave stock is currently not in the portfolio.

2. Buy Indirectly

Indirect investing in pre-IPOs is the easiest and lowest-risk way to gain investment exposure. However, upside potential is very limited. 

Nvidia (NVDA), Zoom (ZM), Cisco (CSCO), and Pure Storage (PSTG) have all invested in CoreWeave, therefore retail investors can buy those stocks for indirect exposure. 

The amount of equity each holds is unclear. Indirect investors can gain more from low market cap stocks if CoreWeave’s valuation expands. That makes Pure Storage the most attractive of these companies to benefit from CoreWeave’s future growth. 

3. Buy the stock during the IPO through a participating broker

If a CoreWeave IPO develops, most retail investors will not receive IPO shares. IPO access is often challenging. 

But, savvy retail IPO investors may find opportunities to invest during the IPO when it arrives. IPO access has become increasingly accessible to retail investors in the past few years.

4. Buy the stock after the IPO

Most investors will not acquire pre-IPO shares or receive an allocation during the IPO. They will need to wait until an IPO to buy the stock in the open market. 

Investing after the IPO has advantages. The market-based pricing and regulated filings reduce investor risk. Furthermore, public numbers make it easier for retail investors to perform due diligence before investing. 

Avoid chasing over-inflated share prices immediately after the IPO. Stock price declines after IPOs can be excellent entry points.

Be selective and patient. The most disruptive companies are likely to experience higher valuations a decade from now.

Conclusion

Retail investors often become interested in buying startups riding extraordinary macroeconomic and technology trends (AI, supercomputing, cloud, LLMs) before they go public. 

However, acquiring ownership in CoreWeave and similar companies is challenging for retail investors, especially non-accredited ones, due to regulations and high demand for shares.
